Committee Purpose

The FIA Japan Executive Committee is appointed by the Board of Directors of FIA Japan to act on behalf of the Board of Directors of FIA Japan in the handling of any matters, which in the opinion of the Chairman of the Board, should not be postponed until the next meeting of the Board of Directors.

 

Committee Membership

The Executive Committee shall be composed of the Chairman, Vice Chairman, President, and such other Directors as it may from time to time designate. The members of the Executive Committee shall be appointed and removed by the Board of Directors.

 

Committee Authority and Responsibilities

The FIA Japan Executive Committee shall have full power to act for and on behalf of the Board of Directors between meetings of the Board of Directors. 

• The Executive Committee may, with the approval of the Board of Directors, adopt its own rules with respect to the time and place of its meetings, quorum and voting requirements and other rules of procedure. 

• The Committee shall provide regular reporting regarding its activities to the Board of Directors, and minutes of each meeting of the Executive Committee shall be distributed promptly to each Director.

• The Committee may delegate authority to other Committees of FIA Japan or Sub-Committees of FIA Japan as it deems appropriate.

 

The Executive Committee shall not have the authority to consider:

• Matters pertaining to members of the Association requiring approval of the members;

• Filling of any vacancy on the Board of Directors; or

• Such other matters as the Board of Directors may reserve to itself.
